Capital Solutions

Capital solutions is a term asset managers and investment banks use for flexible, bespoke financing provided across a company’s or asset owner’s capital structure — debt, structured or preferred equity, hybrids, and asset-backed arrangements — designed around a specific need rather than sold as a standard product. A capital-solutions provider starts from the situation (a growth financing, an acquisition, a refinancing, a liquidity gap, a balance-sheet restructuring) and assembles whatever mix of senior, junior, and structured capital fits, often blending features that traditional lenders keep separate. The label signals flexibility of instrument and position in the stack, not a single asset class.

Because it is defined by flexibility, capital solutions is best understood by contrasting it with the more standardised financing it sits beside.

Capital solutions vs traditional direct lending and vs pure equity

Against traditional direct lending: a conventional senior or unitranche loan is a relatively standardised instrument at a defined point in the capital structure. Capital solutions widens the toolkit — it might combine senior debt with a preferred layer, add payment-in-kind features, take structured or asset-backed collateral, or blend into equity-like upside — because the goal is to solve a bespoke problem rather than deploy a template. Direct lending answers “can we lend senior to this company?”; capital solutions answers “what combination of capital solves this situation?”

Against pure equity: an equity investment takes ownership and full residual risk and reward. Capital solutions more often sits between debt and equity — structured, preferred, or hybrid instruments that carry defined economics and downside protection while retaining some upside participation. It is deliberately positioned to be more protected than common equity and more flexible than plain senior debt. (These are structural distinctions, not a view on which form of capital is preferable in any situation.)

Sub-types and how they connect

The activity draws on a familiar set of instruments, combined to fit:

  • Structured / preferred equity — instruments with defined return features that rank ahead of common equity.
  • Mezzanine and junior debt — subordinated capital, often with warrants or PIK, bridging senior debt and equity.
  • Hybrid and holdco financings — instruments blending debt and equity characteristics, sometimes at the parent level.
  • Asset-backed and structured facilities — financing tied to specific asset pools or cash flows within a larger solution.
  • Rescue, bridge, and special-situations capital — time-sensitive financing for companies under pressure or in transition.

They connect because a single capital-solutions mandate frequently stitches several of them together — a senior tranche, a preferred layer, and an asset-backed component in one package — sized so that each piece carries the risk and return its position warrants. The unifying skill is structuring across the whole stack rather than mastery of one instrument.

Where it sits in a capital structure and a portfolio

By design, capital solutions spans the middle and lower reaches of the capital structure, adjustable deal by deal: senior when the situation calls for protection, junior or preferred when it calls for flexibility and return, and asset-backed when a pool of collateral can anchor part of the financing. Within a manager’s platform it typically sits alongside — and draws talent from — direct lending, structured credit, and special situations, functioning as the flexible-mandate sleeve that can move wherever the opportunity and the capital structure meet. (This describes how such strategies are positioned, not a recommendation to allocate to them.)

Who gets hired in Capital Solutions

We recruit senior front-office professionals for capital-solutions platforms, where clients place the highest value on structuring range and origination reach across the capital structure. Reference roles in the market include Heads of Capital Solutions and Managing Directors leading origination; structurers and investment professionals (VP to MD) fluent across debt, preferred, hybrid and asset-backed instruments; portfolio managers overseeing bespoke positions; and, for fund vehicles, capital-formation leaders raising flexible-mandate strategies from institutional investors.

Our remit is the front office — origination, structuring, investing and capital formation, from the VP level to group head. Portfolio administration, valuation, and deal operations support these strategies but fall outside the front-office scope we cover. The defining requirement clients describe is versatility: professionals who can look at a complex situation and design the right blend of capital across the stack, then originate and win the mandate to provide it.
