Venture debt is one of the more distinct strategies in alternative credit. The loans go to venture-backed and growth-stage companies — typically alongside, or right after, an equity round. The structure combines term debt, warrant coverage, and covenant-light documentation calibrated to borrowers that aren’t yet producing cash flow at scale. The product has a 40-year history going back to the early days of Silicon Valley Bank, but it’s only in the last decade that non-bank specialty lenders have made it a fully institutional market.
2024 was a record year — $53.3 billion in U.S. venture debt volume, up 94.5% from 2023. Deal count, though, was at a decade low. Lenders are being selective (PitchBook-NVCA, 2025). The March 2023 collapse of SVB — which had been the dominant lender for years — reshaped the landscape. Specialty BDCs (Hercules Capital, TriplePoint Capital, Trinity Capital, Horizon Technology Finance, Runway Growth), private credit funds (BlackRock/Kreos), and First Citizens Bank (as SVB’s successor) have filled most of the gap.
We run a dedicated venture debt practice inside our broader alternative credit search platform.
Venture debt underwriting isn’t like corporate middle-market lending. You’re not looking at EBITDA. You’re looking at burn rate, runway, ARR growth, gross margin trajectory, and — most importantly — the quality of the equity sponsor backing the company. The primary source of repayment is usually the next equity round, an acquisition, or an IPO, so sponsor diligence matters almost as much as borrower diligence.
Warrant coverage — typically 3–10% of loan principal, struck at the last or next round — gives the lender equity upside. Documentation is usually covenant-light relative to middle-market facilities, with MAC-style triggers. All-in yields today run 10–13% across the risk spectrum, reflecting SOFR at 4–5% and the structural premium of venture term loans. That yield profile has pulled in institutional capital — insurance balance sheets, rated-note allocators, private credit platforms.
Adjacent products that share talent — direct lending, structured credit, growth equity, private ABF — are also within our coverage.
We know the product. Warrant coverage, MAC clauses, sponsor re-up dynamics, burn-rate analysis, BDC regulatory mechanics — it’s a specialty.
Deep relationships. BDCs, specialty lenders, and bank-affiliated venture teams.
Cross-product context. Venture debt overlaps with direct lending, structured credit, and ABF.
Pace. Venture debt hiring windows are short, especially around desk build-outs and new fund launches.
How is venture debt different from direct lending? Direct lending finances established corporate borrowers with positive EBITDA — usually PE-sponsored, cash-flow-driven underwriting. Venture debt finances pre-profitability companies where repayment comes from the next equity round, an acquisition, or an IPO. Venture debt has warrant coverage (3–10% of loan principal), MAC-style covenants, shorter tenors, and leans heavily on the quality of the equity sponsor.
Who are the largest venture debt lenders today? After SVB’s March 2023 collapse, share shifted to the specialty BDCs (Hercules, TriplePoint, Trinity, Horizon, Runway Growth) and private credit funds (BlackRock/Kreos). First Citizens Bank, which acquired SVB’s assets, and Western Alliance (Bridge Bank) remain active bank-affiliated lenders.
What sub-segments are hiring most right now? As of early 2026, recurring revenue lending, life sciences specialty lending, late-stage/pre-IPO structured lending, and AI infrastructure venture debt are the busiest. BDCs are expanding as capital markets reopen — Q1 2026 VC deal value hit $267.2 billion and exit value $347.3 billion, both near records (PitchBook-NVCA).
How do you source candidates? Relationships, not databases. Venture debt is a small, tightly networked community. Senior professionals get reached through three decades of direct engagement with the broader credit markets.
Whether you’re launching a new venture debt platform, adding a senior originator, building a recurring revenue lending team, or staffing a BDC desk, we can help.
